These Terms govern your use of Care From China services and website. Please read them carefully before engaging our sourcing services.
1. Introduction
Care From China (“we”, “us”, “our”) is a trading name of Care International Limited, a professional China sourcing agent headquartered in Zhongshan, Guangdong Province, China. With over 30 years of experience in international procurement, manufacturing liaison, and supply chain management, we assist global clients in identifying, vetting, and managing reliable suppliers across China.
These Terms of Service (“Terms”) apply to your use of our website, communications, and all sourcing-related services provided by Care International Limited.
2. Acceptance of Terms
By accessing our website, requesting a quotation, or engaging our services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you are acting on behalf of a company or organization, you represent that you have the authority to bind that entity to these Terms.
If you do not agree with any part of these Terms, you must discontinue use of our services immediately.
3. Services Provided
Care From China acts as an independent sourcing and procurement agent. Our core services include, but are not limited to:
- Supplier Sourcing:Identification, background checks, and factory audits of potential manufacturers.
- Quality Inspection:Pre-production, during-production, and pre-shipment inspections (AQL standards).
- Logistics Coordination:Liaison with freight forwarders, customs documentation support, and shipment tracking.
- Consulting:Product development guidance, pricing negotiation, sampling management, and supply chain optimization.
Service scope, timelines, and deliverables will be confirmed in writing via quotation, purchase order, or service agreement. We reserve the right to decline any project at our discretion.
4. User Obligations
To ensure effective service delivery, you agree to:
- Provide accurate, complete, and timely information regarding product specifications, target pricing, certifications, and order requirements.
- Comply with all applicable import/export laws, sanctions, intellectual property regulations, and product safety standards in your country.
- Not misuse our services for illegal, counterfeit, or infringing goods, or for any purpose that violates Chinese or international law.
- Maintain confidentiality of supplier details, pricing structures, and proprietary sourcing data shared during our engagement.
5. Fees and Payment
Fees are based on project complexity and will be outlined in our quotation. Unless otherwise agreed, our standard terms are:
- Sourcing and service fees are payable in USD, EUR, or CNY as specified.
- Supplier payments typically require a 30% deposit prior to production and 70% balance before shipment, unless otherwise negotiated.
- Service commissions, inspection fees, and consulting charges are non-refundable once work has commenced.
- Late payments may result in suspension of services and delays in production or shipment.
All bank charges, currency conversion fees, and import duties are the responsibility of the client unless explicitly included in a written agreement.
6. Intellectual Property
All content on the Care From China website, including text, graphics, logos, case studies, photographs, videos, and sourcing methodologies, is owned by or licensed to Care International Limited and is protected by copyright and trademark laws.
You may not copy, reproduce, distribute, or create derivative works from our content without prior written consent. Client-owned product designs, trademarks, and specifications remain the property of the client, and we will not share them with unauthorized third parties.
7. Third-Party Suppliers Disclaimer
Care From China facilitates introductions and manages communications with independent third-party manufacturers and suppliers in China. While we conduct due diligence, factory visits, and quality inspections to the agreed standard, we do not own or operate these factories.
Accordingly, we are not liable for the performance, negligence, delays, product defects, or contractual breaches of any third-party supplier. Your purchase contract is ultimately with the manufacturer. Our role is that of an agent and consultant, and we will use commercially reasonable efforts to assist in resolving disputes, but we cannot guarantee specific outcomes.
8. Limitation of Liability
To the maximum extent permitted by law, Care International Limited shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including loss of profits, revenue, data, or business opportunities, arising from your use of our services.
Our total aggregate liability for any claim related to our services shall not exceed the total service fees paid by you to us in the six (6) months preceding the event giving rise to the claim. We do not provide warranties regarding uninterrupted website availability, supplier production capacity, or market pricing fluctuations.
9. Privacy
Your privacy is important to us. Our collection, use, and protection of personal data are described in our Privacy Policy, which is incorporated into these Terms by reference. By using our services, you consent to the data practices described therein.
10. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the People’s Republic of China, without regard to its conflict of law principles.
Any dispute, controversy, or claim arising out of or relating to these Terms or our services shall be submitted to arbitration administered by the Zhongshan Arbitration Commission in Zhongshan City, Guangdong Province. The arbitration shall be conducted in English or Chinese as agreed, and the arbitral award shall be final and binding upon both parties.
11. Changes to Terms
We may update these Terms from time to time to reflect changes in our services, legal requirements, or business practices. The “Last updated” date at the top indicates the most recent revision. Continued use of our services after changes are posted constitutes your acceptance of the revised Terms. Material changes will be notified via email or website notice where appropriate.
